Acceptance of Terms of Use
Welcome to the Zon Staff application ("Zon Staff", "us", "our" or "we"). The following terms and conditions (these "Terms of Use") govern your access to and use of zonstaff.com and all subdomains, as well as our Shopify POS application (collectively, the "Application"). Please read these Terms of Use carefully before you start using the Application. By using the Application, you accept and agree to be bound by and abide by these Terms of Use. If you do not agree, please exit the Application and cease any further use or access.
Ownership and Intellectual Property Rights
This application is owned and operated by Zon Staff. "Content" means all of the features and functionality accessible through the Application, including all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof. The Zon Staff name and all related product and service names, logos, designs, and slogans are trademarks of Zon Staff or its licensors, which you may not use without prior written permission. No right, title or interest in or to the Application is transferred to you. All rights not expressly granted are reserved by Zon Staff.
Limited License Grant; Revocation
Subject to these Terms of Use, Zon Staff grants you a non-exclusive, non-transferable license to use the Application, solely for the purpose of managing staff within your Shopify POS environment. We reserve the right to withdraw or amend this Application and any Content in our sole discretion without notice, and to revoke the licenses granted or impose conditions on future access, including requiring payment of subscription or license fees.
Restrictions on Use
You are not permitted to: (a) conduct or promote illegal activities; (b) upload, distribute or print anything that violates these Terms or may harm others; (c) reverse engineer or jeopardize the correct functioning of the Application; (d) attempt to access secured portions you do not have rights to; (e) transmit any virus, worm, Trojan horse, or other malicious code; (f) generate unsolicited email advertisements or spam; (g) use any automatic or manual process to harvest information; (h) impersonate another user; or (i) copy or distribute the Content.
User Contributions
Certain areas of the Application may allow you to post content viewable by others ("User Contributions"). You may only post in areas where permitted, and may not post content that violates these Terms. By submitting User Contributions, you grant us the right to use, copy, display, perform, distribute, adapt and promote them in any medium. You take sole responsibility for your User Contributions and represent that you own them or have permission to post them, and that they do not infringe the rights of third parties or contain unlawful, obscene, or harmful material. Zon Staff has no duty to pre-screen User Contributions but reserves the right to refuse, redact, or remove them at our discretion.
Your Indemnification Obligations
You agree to defend, indemnify, and hold harmless Zon Staff and our employees, contractors, officers, directors, and agents from all liabilities, claims and expenses, including attorneys' fees, that arise from (a) your use or misuse of the Application; (b) any violation of these Terms of Use; and (c) any of your User Contributions.
Disclaimer of Warranties
Your use of the Application, its Content and any services or items obtained through the Application is at your own risk. The Application, its Content and any services or items obtained through the Application are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Zon Staff disclaims all warranties of any kind, including any warranties of merchantability, non-infringement and fitness for a particular purpose. The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.
Limitation of Liability
In no event will Zon Staff, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use of, or inability to use, the Application, including any direct, indirect, special, incidental, consequential or punitive damages, even if foreseeable. Any cause of action or claim you may have must be commenced within 30 days after the cause of action accrues. The foregoing does not affect any liability which cannot be excluded or limited under applicable law.
Privacy Policy
The terms governing collection and handling of any information you submit while using this Application are contained in a separate Privacy Policy. You agree to abide by all policies posted on zonstaff.com.
Changes to Terms of Use
Zon Staff reserves the right to modify these Terms of Use at any time, in our sole discretion. All changes are effective immediately when posted. Your continued use of the Application following the posting of revised Terms means you accept the changes.
General
No joint venture, partnership, employment, or agency relationship exists between you and Zon Staff as a result of these Terms. You may not assign or transfer your rights hereunder; Zon Staff may freely do so. If any provision is found invalid or unenforceable, the remainder will continue in full force and effect. No waiver by Zon Staff will be valid unless in writing.
Governing Law and Jurisdiction
The laws of the State of Texas govern these Terms of Use. You agree that any legal action relating to these Terms may take place only in Fort Worth, TX, and you consent to the personal jurisdiction of those courts and waive trial by jury in any such action.
Entire Agreement
